This Agreement (“Agreement”) is a binding contract between you (“User” or “Agent”) and **Centum Financial Group Inc.** (“CENTUM”), operator of the Mortgage Monitor platform (“Platform”), a software-as-a-service solution made available at mortgagemonitor.ca. It governs your access to and use of the Platform in connection with services you provide to your clients (“Clients”).

1. Scope and Acceptance

By accessing or using the Platform, you agree to comply with and be bound by this Agreement and our Privacy Policy. If you do not agree, you may not use the Platform.

2. Platform Purpose and Access

The Platform enables Agents to:

• Invite or enroll Clients to monitor mortgage and property details;
• Identify mortgage renewal, refinance, and servicing opportunities;
• Deliver value-added engagement;
• Refer Clients through integrated features, including services administered by CPG HomeHub LP.

You may only use the Platform for lawful business purposes within your licensed jurisdiction.

3. Licensing & Regulatory Requirements

You confirm that:

• You are duly licensed in each province in which you operate;
• You will only offer mortgage advice if licensed to do so;
• Real estate agents may use the Platform to invite Clients, but must not provide mortgage advice unless dually licensed;
• You will comply with all applicable laws, regulations, and codes of conduct.

4. Client Consent & Privacy Obligations

You are responsible for:

• Obtaining express, informed consent before uploading or managing Client data;
• Complying with PIPEDA, CASL, and any relevant provincial privacy statutes;
• Respecting Client withdrawals of consent;
• Ensuring all communications meet anti-spam and disclosure requirements.

5. Referrals and HomeHub Integration

From time to time, Clients may be presented with opportunities to connect with licensed professionals through affiliated services. If a Client opts in, the transaction may be administered by CPG HomeHub LP, a Charlwood Pacific Group affiliate. HomeHub is responsible for obtaining all legally required consents and disclosures.

No referral obligations are imposed on Agents unless separately registered with HomeHub.

6. Data Ownership and Confidentiality

• Client data remains the property of the Client or originating brokerage.
• By using the Platform, you authorize CENTUM and its affiliates to process and use such data to deliver Platform services.
• You agree not to disclose CENTUM’s confidential or proprietary information except as required by law.

7. Security & Usage Restrictions

You agree to:

• Protect your login credentials;
• Restrict access to authorized users;
• Refrain from reselling, reverse-engineering, or interfering with Platform operations.

8. Subscription Fees (If Applicable)

Where applicable, you agree to pay subscription fees in accordance with your plan. CENTUM reserves the right to suspend access for non-payment. Fees are non-refundable unless required by law.

9. Termination

CENTUM may suspend or terminate access at any time due to:

• Breach of this Agreement;
• Non-compliance with licensing or regulatory standards;
• Disaffiliation from an authorized brokerage.

Upon termination, access must cease and any exported data must be deleted or retained only as legally required.

10. Limitation of Liability

The Platform is provided “as is.” CENTUM disclaims all warranties. Total liability, if any, is limited to CAD $100 or the amount paid by the User in the prior 12 months, whichever is greater.

11. Governing Law

This Agreement is governed by the laws of British Columbia and the applicable laws of Canada.

Final Acknowledgement

By accessing or using the platform, you confirm you have read, understood, and agreed to be bound by this agreement.
